Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of theCurobi subscription application for Shopify (the “App”) and the curobi.com website (the “Site”), operated by Vibhora(“Curobi”, “we”, “us”). By installing the App or using the Site, you agree to these Terms. If you do not agree, do not install or use the App.

1. The service

Curobi is a Shopify app for recurring subscriptions — subscription plans, build-your-own and merchant-curated boxes, product bundles, prepaid terms, a customer self-service portal, failed-payment recovery, and cancellation save flows. Curobi runs on Shopify’s native Subscription Contracts and checkout: recurring charges are processed by Shopify, and Curobi never handles or stores payment-card data. We may add, change, or remove features over time.

2. Eligibility and accounts

To use the App you must have an active Shopify store and the authority to install apps and accept these Terms on behalf of that store. You are responsible for your Shopify account, for the actions taken in your store, and for keeping your credentials secure.

3. Fees and billing

• Flat pricing, 0% transaction fees. Curobi charges a flat recurring subscription fee for the App. We do not take a percentage of your customers’ recurring charges. Current plans and prices are listed on our pricing page.
• Billed through Shopify. App fees are billed through the Shopify Billing API and appear on your Shopify invoice, subject to Shopify’s billing terms.
• Free trial. Paid plans include a free trial as described at sign-up or on the pricing page. If you do not cancel before the trial ends, the plan’s recurring fee begins.
• Founding-merchant offer. Any promotional offer (such as the founding-merchant free period) applies only on its stated terms, to eligible stores, while it is available, and may be changed or withdrawn.
• Changes to fees. We may change plan pricing prospectively. Where required, changes are surfaced through Shopify’s billing approval flow before they take effect.
• Taxes. Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable taxes.

4. Migration

Curobi offers free CSV-based migration from other subscription apps (including Recharge, Appstle, Loop, Bold, and Seal). Migration depends on the accuracy and completeness of the data you or your prior provider export. You are responsible for verifying migrated subscriptions before relying on them, and for your relationship and any obligations with your prior provider.

5. Acceptable use

You agree not to:

• use the App or Site in violation of any law, of Shopify’s terms, or of the rights of others;
• attempt to gain unauthorized access to the App, our systems, or other merchants’ data;
• reverse engineer, resell, or create a competing service from the App except to the extent that restriction is prohibited by law;
• interfere with or disrupt the integrity or performance of the App; or
• use the App to send unlawful, deceptive, or unsolicited communications.

6. Data protection

When you install the App you remain the data controller of your store’s and your customers’ personal data, and Curobi acts as a data processor. How we access, use, store, and protect data — including sub-processors, retention, security, and the mandatory Shopify data-privacy webhooks — is described in ourPrivacy Policy and Security pages, which are incorporated into these Terms.

7. Intellectual property

The App, the Site, and all related software, content, and trademarks are owned by Vibhora or its licensors and are protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the App for your store while your subscription is active. You retain all rights to your own store’s data and content.

8. Third-party services

The App depends on Shopify and on the sub-processors listed in our Privacy Policy. Your use of Shopify is governed by Shopify’s own terms. We are not responsible for third-party services outside our control, including changes Shopify makes to its platform, APIs, or billing.

9. Availability

We work to keep the App reliable but do not guarantee uninterrupted or error-free service. We may perform maintenance, and availability can be affected by factors outside our control, including Shopify or infrastructure providers.

10. Disclaimers

The App and Site are provided “as is” and “as available”without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the App will meet every requirement or that results (such as revenue or retention) will be achieved.

11. Limitation of liability

To the fullest extent permitted by law, Curobi and Vibhora will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the App or these Terms will not exceed the amount you paid us for the App in the three months before the event giving rise to the claim.

12. Termination

You may stop using the App at any time by uninstalling it from your Shopify store. Uninstalling ends your subscription going forward and triggers deletion of your store’s data as described in our Privacy Policy. We may suspend or terminate access if you breach these Terms or use the App in a way that risks harm to other merchants, their customers, or our systems. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will revise the effective date above and, where appropriate, notify merchants. Your continued use of the App after an update constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Vibhora is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over any dispute, except where mandatory local consumer law provides otherwise. Nothing in these Terms limits rights you have under Shopify’s terms as a Shopify merchant.
